Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Autospawn platform, website, browser extension, and related services (collectively, the "Service") operated by Autospawn ("Autospawn," "we," "us," or "our").

By creating an account, connecting integrations, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

Autospawn is an autonomous AI company builder. The Service provides AI specialist agents that can, at your direction, build and deploy websites, create and publish content, manage advertising campaigns, conduct outreach, perform research, and coordinate operational tasks on your behalf.

The Service operates in two modes: Copilot, where you approve actions before they are executed, and Autonomous, where agents may act between your check-ins according to your configuration. You may switch modes at any time.

Autospawn is a tool that assists you in running your business. We do not guarantee any particular business outcome, revenue, growth, or return on investment.

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that all registration information you provide is accurate and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at founders@autospawn.com if you suspect unauthorized access.

You may not share your account with others except as permitted by your plan, create multiple accounts to abuse trials or promotions, or use the Service in any manner that violates applicable law or these Terms.

Paid plans are billed on a recurring monthly basis through Stripe unless otherwise stated at checkout. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.

Plans include operating credits, Leads wallet balances, and outbound inbox capacity as described on our Pricing page. Credits and wallet balances are consumed as agents perform tasks. Unused credits and balances do not roll over unless explicitly stated in your plan terms.

Advertising spend on third-party platforms (such as Meta or Google) is billed separately from your Autospawn subscription and is subject to the billing terms of those platforms. You are responsible for monitoring and approving ad spend within the limits you configure.

Free trials, where offered, convert to paid subscriptions at the end of the trial period unless you cancel before the trial expires. We may change pricing or plan features with reasonable notice; continued use after a price change constitutes acceptance.

Except where required by law, fees are non-refundable. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

You are solely responsible for:

• The business decisions made using the Service, including approving or allowing autonomous agent actions
• Reviewing AI-generated content, code, campaigns, and communications before or after they are published or sent
• Ensuring your use of the Service complies with all applicable laws, regulations, and third-party platform terms
• The accuracy of information you provide to agents and integrations
• Maintaining valid connections, credentials, and permissions for any third-party services you authorize
• Any websites, products, ads, emails, or messages deployed or sent through your workspace

When operating in Autonomous mode, you acknowledge that agents may take actions between your check-ins without real-time approval. You configure the scope of those actions and remain responsible for their consequences.

The Service integrates with third-party platforms including, without limitation, Stripe, GitHub, Meta, Google, social media networks, email providers, and tools made available through integration partners. Your use of those services is governed by their respective terms and privacy policies.

By connecting an integration, you authorize Autospawn to access and use data from that service as necessary to perform actions on your behalf. We are not responsible for the availability, accuracy, or policies of third-party services, and we may disable integrations that pose security, legal, or operational risk.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Send spam, unsolicited bulk messages, or communications that violate CAN-SPAM, GDPR, or similar regulations
• Engage in deceptive, fraudulent, or misleading advertising or business practices
• Infringe intellectual property, privacy, or publicity rights
• Distribute malware, attempt unauthorized access, or interfere with the Service or its infrastructure
• Generate or distribute content that is illegal, harassing, hateful, or exploitative
• Reverse engineer, scrape, or attempt to extract source code or models except as permitted by law
• Resell or sublicense the Service without our written consent

We may investigate violations and suspend or terminate accounts that we reasonably believe have breached these Terms or pose risk to Autospawn, other users, or third parties.

Outputs produced by Autospawn agents are generated by artificial intelligence and may be inaccurate, incomplete, or unsuitable for your intended use. You are responsible for reviewing, editing, and approving all outputs before relying on them or publishing them externally.

Autospawn does not guarantee that AI-generated code is free of bugs or security vulnerabilities, that marketing copy will perform as expected, or that research findings are complete or current. You should apply your own judgment and, where appropriate, seek professional advice.

Autospawn and its licensors retain all rights, title, and interest in the Service, including software, models, designs, trademarks, and documentation. These Terms do not grant you any ownership rights in the Service itself.

As between you and Autospawn, you retain ownership of your business information, inputs, and the specific outputs generated for your workspace, subject to our limited license below. You grant Autospawn a worldwide, non-exclusive license to use, store, process, and display your content as necessary to provide, maintain, and improve the Service, including training and evaluation of agent behavior within your workspace context.

If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation.

Websites, domains, and customer-facing assets deployed through the Service are operated on your behalf. You are responsible for the content, privacy practices, and legal compliance of those sites, including posting appropriate privacy notices and honoring data subject requests from your customers.

Outreach features, including cold email and direct messages, must be used in compliance with applicable anti-spam laws, platform rules, and opt-out requirements. You are responsible for maintaining accurate suppression lists and honoring unsubscribe requests for communications sent from your workspace.

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, create legal or security risk, or if we discontinue the Service.

Upon termination, your right to use the Service ceases. We may delete workspace data after a reasonable retention period, except where we are required to retain information for legal, billing, or security purposes.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE.

AUTOSPAWN IS NOT A LAW FIRM, FINANCIAL ADVISOR, OR LICENSED MARKETING AGENCY. THE SERVICE DOES NOT PROVIDE LEGAL, FINANCIAL, TAX, OR COMPLIANCE ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOSPAWN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AUTOSPAWN IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Autospawn and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, your connected integrations, actions taken by agents in your workspace, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

We may modify these Terms at any time by posting the updated Terms on this page and updating the "Last updated" date. Material changes will be communicated through the Service or by email where appropriate. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms, together with the Privacy Policy and any plan-specific terms presented at checkout, constitute the entire agreement between you and Autospawn regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
